Terms of Service

These terms govern your use of Needly ("Needly", "we", "us"), a web application available at useneedly.com that helps service providers find businesses and send them personalized emails. Needly is operated by Maja Ferina Shapteva, Veles, North Macedonia. By creating an account or using Needly, you agree to these terms.

1. The service

Needly finds publicly listed businesses, analyzes publicly available information about them, drafts emails with the help of AI, and sends approved emails through email accounts you connect. Features and limits depend on your plan.

2. Your account

You must be at least 18 and provide accurate information. You are responsible for keeping your login details secure and for all activity under your account.

3. Acceptable use and email laws

You are the sender of every email sent through Needly and are responsible for following the laws that apply to you and your recipients, including CAN-SPAM, GDPR, CASL and similar rules. You agree to:

• contact businesses only with relevant, honest messages about your own services;
• include your real identity and a working way to opt out, and honor opt-out requests promptly;
• not send misleading, abusive, illegal, adult, gambling, financial-scam or phishing content;
• not use Needly to send bulk or purchased-list marketing, or to bypass sending limits;
• not reverse-engineer, resell or overload the service.

We may suspend or terminate accounts that break these rules, generate spam complaints, or put our service or other users at risk.

4. Connected accounts and AI providers

When you connect an email account or your own AI provider key, you authorize Needly to use it only to provide the service to you. You remain bound by those providers' own terms. AI-generated drafts may contain mistakes; you are responsible for reviewing content before approving it.

5. Plans, payment and billing

Paid plans are billed in advance on a monthly or yearly basis. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders, and Paddle handles all customer service inquiries related to payment and returns. Subscriptions renew automatically until cancelled. You can cancel at any time, and your plan stays active until the end of the paid period. See our Refund Policy.

6. Founding member pricing

Founding member discounts apply for as long as the subscription stays active without interruption. If the subscription is cancelled, the discount ends.

7. Your data

You own the content you add to Needly. We process personal data as described in our Privacy Policy.

8. Availability and changes

We work to keep Needly available and reliable, but we do not guarantee uninterrupted service or any specific number of replies, meetings or sales. We may change features or these terms. For material changes, we will notify you in advance by email.

9. Limitation of liability

Needly is provided "as is". To the maximum extent permitted by law, we are not liable for indirect or consequential damages, lost profits, or the content of emails you send. Our total liability is limited to the amount you paid us in the 12 months before the claim.

10. Termination

You may close your account at any time. We may suspend or close accounts that violate these terms. Sections that by their nature should survive termination will survive.
